Companies Act 2006 review of your Company’s Articles of Association

The previous Companies Act 1985 approached company law from the perspective of the large public company, as opposed to smaller, privately owned limited companies, which in reality account for over 95% of all registered companies in the UK!

The Companies Act 2006 addresses many of these issues but to take full and best advantage, companies need to amend their articles of association and, in some cases, pass shareholder resolutions to authorise various matters, going forward.

To help companies make the most of these changes, and take full advantage of the Companies Act 2006, we are offering a complete review of your articles, leading to a detailed report with our recommendations and suggestions for updating/amending your articles, for a fixed fee of £395 + VAT.

Although putting any recommendations into effect will be based on your further instructions to us, and accordingly charged at our usual hourly rates, we will discount these (reflecting the work already undertaken) and will agree our charges with you before commencing any additional work.

Company Secretarial & Registered Office Services

Although UK company law no longer requires private companies to have an appointed company secretary, the duties usually performed by the secretary have not changed.

A failure to file returns and documents with the Registrar of Companies on time can lead to significant fines and penalties. In addition, a failure to deliver accounts and other information may result in the prosecution or disqualification of the directors responsible, or in some cases, automatic dissolution of the company where there is persistent and ongoing default.

We appreciate that many directors simply want to get on and run their businesses, without the burden or worry of administrative matters. If this is the case, we can help by providing support and assistance to your company for a fixed annual fee. As an added convenience (if requested, for no addition charge), we are able to provide a registered office address for the company, where official documents may be served.

This service is provided for an annual fixed fee of £295 + VAT including providing a registered office address (where requested), unlimited changes of company officers, maintaining statutory records and providing reminders of the company’s (now shortened) accounts filing deadline.
